Job Description
Our client is an established asset management firm in NYC. The firm is well-known and invest in assets across the credit and private equity spectrum, among other strategies. Working directly with the Head of this Division, the legal counsel/attorney would contribute to and/or be responsible for the following areas:
- 1940 Act (Registered Funds + Hybrid Funds): Ability to manage alternative products, hybrid products such as BDCs and open-ended vehicles (evergreen funds). Experience with retails funds (HNWI) is preferred.
- Fund Launches: Experience with launching & structuring of funds is required. Must have experience with fund formation, product development & working closely with other internal business and investment stakeholders. Experience with PPM, LPAs, and Investment management agreements is a must.
- Corporate Governance: Experience with Board management and Board meetings is mandatory
- Regulatory and on-going operations: Providing ongoing regulatory and general advice in connection with the day-to-day operations and activities of funds. Work on other long term projects as we scale the team and build out best practices
Requirements:
- 5+ years of experience (JD 2019 +) professional experience in the investment management group (Registered Funds practice) of a top-tier law firm and/or in-house experience at an alternative fund. The ideal candidate will have 5-10 years of experience and a mix of in-house and BigLaw.
- Knowledge of the Investment Advisers Act of 1940, Investment Company Act of 1940 (1940 Act), Securities Exchange Act of 1934, and the Securities Act of 1933
- Admitted to Practice in the State of New York or eligible to waive in
