An established law firm in San Rafael is seeking a highly experienced Corporate Attorney with deep expertise in private equity to lead sophisticated fund formation and M&A transactions. Key Responsibilities:

• Lead and negotiate high-stakes private equity deals, including platform acquisitions, add-ons, divestitures, and recapitalizations.

• Structure and document private equity fund formations, limited partnership agreements, and investor side letters.

• Draft and review purchase agreements, financing documentation, and equity arrangements.

• Oversee legal due diligence and coordinate with tax, IP, employment, and regulatory teams.

• Provide strategic counseling on corporate governance and compliance matters.

• Manage post-closing integration issues and advise clients on ongoing operations.

• Mentor junior attorneys and ensure high-quality work product.

• Support client development and actively contribute to firm growth.

Qualifications:

• 24 years of corporate legal experience with a strong concentration in private equity transactions.

• Proven ability to manage complex transactions from LOI to closing.

• California Bar admission required (or ability to obtain promptly); other state admissions a plus.

• Portable book of business appreciated, but not required.

• Strong drafting, negotiation, and multitasking abilities.

• J.D. from an accredited U.S. law school.
